TERMS OF USE OF GRIFOLS MEDIA CENTER ASSETS

1. INTRODUCTION

Grifols Media Center is a corporate repository of photographs, videos, audio documents, and other content owned by the Grifols group (the "Assets"). Grifols, S.A., a Spanish company with corporate address at c/ Jesús y María, 6, 08022 – Barcelona – Spain ("Grifols"), makes this repository available for media sector professionals, who can download and use its content for information purposes free of charge.

Grifols Media Center is not intended for employees or other personnel related to the Grifols' group companies.

Users may contact Grifols with any doubts or queries regarding the use of the Assets sending an email at media@grifols.com.

2. OBJECT AND SCOPE OF APPLICATION

The current terms of use regulate the access and use of the Assets available on Grifols Media Center by media professionals, without prejudice to the Terms of Use of the Website and the Privacy Notice.

To access Grifols Media Center, users must register, provide specific identification data, and accept these terms of use. If users do not agree to these terms of use, they should not accept them and should refrain from accessing and using Grifols Media Center.

Grifols reserves the right to modify these terms of use so that access to Grifols Media Center after their modification implies full acceptance by users of the updated terms of use.

3.USER OBLIGATION

Users are required to maintain the confidentiality of their Grifols Media Center login credentials and are not permitted to  share any information with others. Users cannot assign, sublicense, share, or otherwise transfer their rights to any third party without Grifols' prior written authorization.

Users are responsible for the activities carried out with their user account. In the event of unauthorized access, loss or theft of their Grifols Media Center login credentials, users shall  notify Grifols immediately.

The user undertakes to:

  • Use the Assets to disseminate and inform about the business activity of the Grifols group, without commercial or advertising activities, including unfair behaviours.
  • Mention Grifols as the source of the Assets.
  • Not associate the Assets with designations, trademarks, commercial names, or other third-party distinctive signs.
  • Not declare or carry out any actions that imply that the Assets have been developed by individuals not related to Grifols.
  • Not use the downloaded Assets for subsequent distribution, licence, assignment, or commercialization in any other way.
  • Not alter nor manipulate the Assets, except with Grifols' written authorization, without considering minor adaptations, adjustments, or edits prohibited.
  • Not use the Assets for purposes or in contexts that are discriminatory, defamatory, aggressive, obscene, sexually explicit, offensive, violent or encouraging violence, racist or xenophobic, or are in general illegal or harmful to the rights and the physical or moral integrity of individuals.
  • Not associate the Assets with the private information of the individuals identifiable in these Assets.
  • Respect each asset's intellectual and industrial property rights and the image and data protection rights of the individuals appearing in them.
  • Immediately notify Grifols of any unlawful or illegal use of the Assets.
  • Not use the Assets that are not published in Grifols Media Center at any time. Therefore, users must verify if the Assets are still published in Grifols Media Center at the time of use.
  • Comply with current legislation.

Grifols reserves the right to force users to cease using Assets and to suspend or cancel a user accounts if they infringe these terms of use, the account is inactive, or there are technical or security issues in Grifols Media Center.

4. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS 

Grifols owns the intellectual and industrial property exploitation rights over the Assets.

Under no circumstance may accessing, downloading, and using the Assets available at Grifols Media Center be understood as a waiver or the total or partial transfer of the mentioned rights by Grifols.

All intellectual and industrial property rights are reserved, and, in particular, it is forbidden to modify, copy, reuse, exploit, reproduce, transform, communicate publicly, make second or subsequent publications, upload files, send by email, transmit, use, process or distribute in any way all or part of the Assets outside the scope of these terms of use or without Grifols' prior written authorization.

5. RESPONSIBILITY 

Grifols will not be responsible for the use of the Assets by the users of Grifols Media Center. Likewise, Grifols will not be liable for any damages caused to a third party arising from the unlawful or unauthorized use of the Assets.

6. APPLICABLE LAW AND JURISDICTION

The relationships between Grifols and the user shall be governed by Spanish law. Any disagreement, claim or litigation between Grifols and the users will be submitted to the courts of the city of Barcelona.
